Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, products, and services provided by lbhongdafood.com ("we", "our", "us"). By accessing, installing, downloading, or otherwise using any part of our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

// 1. Eligibility & Account

1.1 Minimum Age. You must be at least 13 years of age (or older where required by your local law: 14 in Spain/South Korea, 16 in the EEA/UK, 18 in certain U.S. states including California) to use the Services. By using the Services you represent and warrant that you meet the age requirement.

1.2 Account Integrity. When you create an account you agree to provide accurate, current and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at contact@lbhongdafood.com of any unauthorised use.

1.3 One Account Per Person. You may not create more than one personal account. We may suspend or terminate duplicate accounts.

1.4 Business Use. If you are accepting these Terms on behalf of a company, you represent that you have authority to bind that company, in which case "you" refers to that company.

// 2. Licence & Use Restrictions

2.1 Limited Licence. Subject to your compliance with these Terms, we grant you a personal, worldwide, royalty-free, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install and use the Apps on a device that you own or control, and to access the website for personal or internal business purposes.

2.2 Prohibited Conduct. You agree not to:

  • Reverse-engineer, decompile, disassemble or otherwise attempt to derive source code, except to the extent permitted by applicable law.
  • Modify, adapt, translate or create derivative works based on the Services, in whole or in part.
  • Rent, lease, sublicense, distribute or otherwise transfer the Apps.
  • Remove, alter or obscure any copyright, trademark or other proprietary notices.
  • Use the Services to develop a competing product or service.
  • Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Upload viruses, worms, time-bombs or any other malicious code.
  • Use the Services in connection with illegal activities, harassment, intellectual-property infringement, or unsolicited communications.
  • Circumvent, disable or otherwise interfere with security-related features.
  • Sell, share or transfer your account to another person.
  • Use the Services in any manner that could damage, disable, overburden or impair our infrastructure.
  • Use the Services to facilitate any violation of applicable laws, including export-control and sanctions laws.

2.3 App Store Specific Terms. These Terms apply between you and lbhongdafood.com, not with Apple Inc., Google LLC, Huawei, Amazon, Microsoft, Samsung or any other app-store provider. The app-store provider has no obligation to provide maintenance or support for the Apps. In the event of any conflict between these Terms and the terms of the applicable app-store provider, these Terms shall prevail as between you and us.

// 3. Local-First Data Model

3.1 Storage on Your Device. All personal content that you create in our Apps is, by default, stored locally on your device. We do not upload your personal content to our servers unless you explicitly opt-in to a cloud-sync feature, and even then, the data is encrypted end-to-end.

3.2 Your Responsibility for Backups. You are responsible for maintaining your own backups of any data that you store within the Apps. We are not liable for the loss of any locally stored data due to device failure, loss, theft, software bugs, OS upgrades, jailbreaking, or any other cause.

3.3 No Recovery of Local Data. We cannot recover locally stored data from a device that is lost, stolen, factory-reset, or otherwise inaccessible.

// 4. Subscriptions, In-App Purchases & Refunds

4.1 Free and Paid Features. Our Apps may offer both free features (possibly supported by advertising, as described in our Privacy Policy) and paid features (one-time purchases or auto-renewing subscriptions). Pricing is displayed in the App and may vary by country due to taxes, exchange rates and platform fees.

4.2 App Store Billing. All purchases made through the Apple App Store, Google Play, Huawei AppGallery, Samsung Galaxy Store, Amazon Appstore, or Microsoft Store are processed by the respective platform. Their billing terms apply in addition to these Terms. Sales are final once the transaction is completed, but you may have additional rights under the platform's refund policy.

4.3 Auto-Renewing Subscriptions. Subscriptions automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the end of the current period. The renewal charge will be made to your app-store account within 24 hours before the end of the current period. You can manage or cancel your subscription at any time from your app-store account settings.

4.4 Free Trials. If a free trial is offered, you will be charged the subscription fee at the end of the trial unless you cancel before the trial ends. We will notify you at least 24 hours before the trial ends.

4.5 Refund Policy. All refund requests are handled by the platform through which the purchase was made. Apple App Store refunds are available at reportaproblem.apple.com. Google Play refunds at support.google.com/googleplay. By EU and UK consumer law you retain a 14-day right of withdrawal for digital content that has not yet been delivered – this right is waived once you have explicitly consented to immediate performance.

4.6 Price Changes. We may change subscription prices. We will give you at least 30 days' notice before any change takes effect. Continued use after the change indicates your acceptance of the new price.

4.7 Taxes. Prices displayed in the App may be exclusive of applicable VAT, GST, sales tax or other transaction taxes. The final price, including any tax, is shown at checkout by the platform.

// 5. Intellectual Property

5.1 Our IP. All content, code, designs, graphics, logos, trademarks, audio, video, and software in the Services (excluding user content) are owned by lbhongdafood.com or its licensors and are protected by copyright, trademark, and other intellectual-property laws.

5.2 Trademarks. "lbhongdafood" and the lbhongdafood logo are trademarks of lbhongdafood.com. You may not use these marks without our prior written consent.

5.3 Your Content. You retain all rights in the content you create within the Apps. You grant us a limited, worldwide, royalty-free licence to host, store, transmit and display such content solely for the purpose of providing the Services to you.

5.4 Feedback. If you provide feedback, suggestions or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify and incorporate such feedback without restriction or compensation.

// 6. Third-Party Services & Advertising

The Services may contain links to, integrate with, or display content from third parties, including the advertising partners listed in our Privacy Policy. We do not control and are not responsible for the content, products, services or practices of any third party. Your use of any third-party service is at your own risk and subject to that third party's own terms.

// 7. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SERVICES, INCLUDING ANY DECISIONS OR ACTIONS YOU TAKE BASED ON INFORMATION PROVIDED BY THE SERVICES (INCLUDING, WITHOUT LIMITATION, FINANCIAL, FITNESS, COLLECTIBLES OR OTHER DATA).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

// 8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LBHONGDAFOOD.COM, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • DAMAGES RESULTING FROM (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN ANY CASE, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY, FRAUD, OR FRAUDULENT MISREPRESENTATION.

// 9. Indemnification

You agree to defend, indemnify and hold harmless lbhongdafood.com and its officers, directors, employees, contractors, agents, licensors, service providers, subcontractors, suppliers, interns and affiliates from any claim, demand, loss, liability, damage or expense (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party right, including intellectual-property or privacy rights, or (d) any claim that your content caused damage to a third party.

// 10. Termination

10.1 By You. You may stop using the Services at any time and may delete your account by following the instructions in the App or by contacting us at contact@lbhongdafood.com.

10.2 By Us. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including (without limitation) if we believe that you have breached these Terms, that your use of the Services poses a security or legal risk, or that continued provision would be technically or commercially infeasible.

10.3 Effect. Upon termination: (a) the licences granted to you will end; (b) you must stop using the Services; (c) we may delete your account and any associated data in accordance with our retention policy; (d) provisions of these Terms which by their nature should survive termination will survive (including ownership, disclaimers, indemnity, limitations of liability and dispute resolution).

10.4 No Refund. Termination does not entitle you to a refund of any prepaid fees, except as required by law.

// 11. Governing Law & Dispute Resolution

11.1 Governing Law. These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11.2 Jurisdiction. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that we may bring proceedings against you in any court of competent jurisdiction in your country of residence for an injunction or equitable relief.

11.3 Consumer Rights. Nothing in this Section 11 limits your rights as a consumer under the mandatory consumer-protection laws of your country of residence (e.g. the EU/UK Consumer Rights Act 2015, the FTC Act in the U.S., the Australian Consumer Law, the Brazilian CDC, the Chinese Consumer Protection Law). You may bring an action in your local courts.

11.4 Informal Resolution. Before filing a claim, you agree to contact us at contact@lbhongdafood.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within 30 days of submission, you or we may bring a formal proceeding.

11.5 EU Online Dispute Resolution. The European Commission provides an online platform for the resolution of consumer disputes, available at ec.europa.eu/consumers/odr.

// 12. Export Control & Sanctions

You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United Kingdom, the European Union, the United States, or any other relevant jurisdiction has embargoed goods or services, including (without limitation) Cuba, Iran, North Korea, Syria, Crimea, Donetsk and Luhansk regions. You agree to comply with all applicable export-control and sanctions laws, including the UK Export Control Order 2008, EU Dual-Use Regulation 2021/821, the U.S. Export Administration Regulations (EAR), and the International Traffic in Arms Regulations (ITAR).

// 13. Accessibility

We are committed to making the Services accessible to all users, including those with disabilities. We follow the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA where reasonably practicable, the UK Equality Act 2010, the European Accessibility Act (Directive 2019/882), the U.S. Americans with Disabilities Act (ADA) Section 508, the Accessibility for Ontarians with Disabilities Act (AODA), the JIS X 8341 (Japan), and EN 301 549. // 14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of these Terms reflects when the latest changes were made. Where a change is material, we will notify you via the App (in-app notice) and/or by email (if you have an account), and where required by law we will request your renewed consent. Continued use of the Services after a change indicates your acceptance of the updated Terms.

// 15. Miscellaneous

15.1 Entire Agreement. These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and us regarding the Services.

15.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any of our affiliates, or in connection with a merger, acquisition, or sale of assets.

15.5 No Third-Party Beneficiaries. Except as expressly set out in these Terms, these Terms do not confer any rights on any third party.

15.6 Force Majeure. We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network or power failures, strikes, or shortages of transportation, facilities, fuel, energy, labour or materials.

15.7 Headings. The section headings are for convenience only and have no legal or contractual effect.
